Recent Company Law Changes
Amendments to company law have been made by the Small Business, Enterprise and Employment Act 2015, including:
- Increased accountability of shadow directors (our corporate clients have received an e-shot on this)
- The abolition of bearer shares
- Changes to the process by which directors give consent to their appointment
- New rules on directors’ disqualification, including the introduction of new grounds for disqualification
- The partial suppression of dates of birth on the Companies House register.
There are also a number of legislative changes coming up in 2016, including:
- The introduction of a new requirement for companies to hold registers of people with significant control (the PSC register)
- The abolition of corporate directors
- Reduced filing requirements for companies, with the removal of the requirement for an annual return
- A simplified system of maintaining company registers
